End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("Licensee," "you," or "your") and CheckPrintPro ("Licensor," "we," "us," or "our") for the CheckPrintPro software, including any associated media, printed materials, and electronic documentation (collectively, the "Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.

2. Definitions

• "Software" means the CheckPrintPro application, including all updates, upgrades, and documentation.
• "License" means the right to use the Software as granted under this Agreement.
• "Device" means a computer, mobile device, or other hardware on which the Software is installed.
• "Bank Profile" means a configuration within the Software containing bank account information.
• "Downloadable Version" means the desktop software for Windows and macOS (Beginner, Pro, or Business tiers).
• "Hosted Version" means the cloud-based subscription service accessible via web browser.

3. License Types

CheckPrintPro offers the following license types:

3.1 Hosted License ($9.99/month)

• Type: Subscription-based cloud service
• Access: Web browser on any device
• Bank Profiles: 1 bank profile
• Check Printing: Unlimited
• History: 30 days
• Storage: Cloud storage with multi-device sync
• Duration: Monthly subscription, renews automatically

3.2 Beginner License ($9.99 one-time)

• Type: Perpetual license for downloadable software
• Platforms: Windows and macOS
• Devices: Install on up to 2 devices you own
• Bank Profiles: 1 bank profile
• Check Printing: Unlimited
• History: 30 days
• Storage: Local storage only (no cloud sync)
• Duration: Perpetual (one-time purchase)

3.3 Pro License ($29.99 one-time)

• Type: Perpetual license for downloadable software
• Platforms: Windows and macOS
• Devices: Install on up to 3 devices you own
• Bank Profiles: 5 bank profiles
• Check Printing: Unlimited
• History: Full history (unlimited)
• Storage: Local storage only (no cloud sync)
• Support: Priority support
• Duration: Perpetual (one-time purchase)

3.4 Business License ($39.99 one-time)

• Type: Perpetual license for downloadable software
• Platforms: Windows and macOS
• Devices: Install on up to 5 devices you own
• Bank Profiles: Unlimited
• Check Printing: Unlimited
• History: Full history (unlimited)
• Storage: Local storage only (no cloud sync)
• Team Members: Up to 5 users
• Support: Priority support
• Duration: Perpetual (one-time purchase)

4. Grant of License

4.1 Hosted License

Subject to your compliance with this Agreement and payment of subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Hosted Version during your active subscription period.

4.2 Downloadable Licenses

Subject to your compliance with this Agreement and payment of the license fee, we grant you a limited, non-exclusive, non-transferable, perpetual right to:

• Install and use the Software on the number of Devices specified in your license type
• Make one backup copy of the Software for archival purposes
• Use the Software for your personal or internal business purposes

4.3 License Scope

Your license is limited to the features and restrictions of your specific license tier. You may not exceed the limits of your license (e.g., number of bank profiles, devices, or team members).

5. Free Trial License

5.1 Trial Grant

We offer a 7-day free trial of the Hosted Version. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Hosted Version for 7 calendar days from the date of email verification.

5.2 Trial Conditions

• Free trials are limited to one per email address
• Email verification is required to activate the trial
• No credit card or payment is required
• Trial includes all Hosted plan features (1 bank profile, unlimited printing, 30 days history)

5.3 Trial Expiration

Upon expiration of the trial period, your access to the Service will be suspended. To continue using CheckPrintPro, you must purchase a paid license. Any data created during the trial may be retained for 30 days to facilitate conversion to a paid plan.

6. License Upgrades

6.1 In-App Upgrade

Users with a Beginner license may upgrade to a Pro or Business license directly from within the desktop application. Upgrades are processed as a new one-time purchase.

6.2 Upgrade Process

• Select the desired upgrade tier from the Upgrade section in the application
• Complete payment through Stripe secure checkout
• A new license key will be delivered to your registered email address
• Enter the new license key in the application to activate upgraded features

6.3 Upgrade Terms

• The new license key replaces your previous license and remains locked to your device
• All existing data (bank profiles, checks, history) is preserved
• Upgrades are subject to the same 30-day money-back guarantee as new purchases
• Downgrade is not available — you may contact support for assistance

6.4 Available Upgrades

• Beginner to Pro ($29.99): Unlocks 5 bank profiles, full history, priority support
• Beginner to Business ($39.99): Unlocks unlimited bank profiles, full history, up to 5 team members, priority support

7. License Restrictions

Except as expressly permitted in this Agreement, you shall not:

7.1 Prohibited Actions

• Modify or Create Derivatives: Modify, adapt, translate, or create derivative works based on the Software
• Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software
• Distribute: Rent, lease, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to third parties
• Remove Notices: Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.) on the Software
• Circumvent Protection: Circumvent or disable any technological protection measures in the Software
• Use for Service Bureau: Use the Software to provide services to third parties (e.g., as a service bureau)
• Exceed License Limits: Install the Software on more devices than permitted by your license
• Share Accounts: Share your account credentials with unauthorized users

7.2 Illegal Use

You shall not use the Software to:

• Create fraudulent or counterfeit checks
• Engage in check fraud or financial crimes
• Violate any applicable laws or regulations
• Infringe upon the rights of others

8. Ownership and Intellectual Property

8.1 Licensor's Rights

The Software is licensed, not sold. CheckPrintPro and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of CheckPrintPro.

8.2 Your Data

You retain all rights to data you create or input using the Software (bank information, check data, etc.). For the Hosted Version, you grant us a limited license to store and process your data solely to provide the service.

8.3 Reservation of Rights

All rights not expressly granted to you in this Agreement are reserved by CheckPrintPro and its licensors.

9. Updates and Support

9.1 Software Updates

Hosted Version: Updates are automatically applied. You always have access to the latest version.

Downloadable Versions: Minor updates and bug fixes are provided free of charge. Major version upgrades may require an additional purchase.

9.2 Technical Support

• Beginner & Hosted: Standard email support
• Pro & Business: Priority email support with faster response times

Support is provided on a commercially reasonable basis. We do not guarantee response times or resolution of all issues.

9.3 No Obligation

We are under no obligation to provide updates, upgrades, or support, except as required by applicable law or as specified in your license type.

10. Warranty Disclaimer

We do not warrant that:

• The Software will meet your specific requirements
• Checks printed using the Software will be accepted by all banks
• The Software will be compatible with all systems, printers, or check paper
• The Software will be free from viruses or other harmful components

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. This warranty gives you specific legal rights, and you may have other rights that vary by jurisdiction.

11. Limitation of Liability

THE TOTAL LIABILITY OF CHECKPRINTPRO AND ITS SUPPLIERS UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE, OR $100, WHICHEVER IS GREATER.

This limitation applies:

• Regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)
• Even if CheckPrintPro has been advised of the possibility of such damages
• Even if any remedy fails of its essential purpose

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

12. Termination

12.1 Termination by You

• Hosted Version: Cancel your subscription at any time
• Downloadable Versions: Uninstall and destroy all copies of the Software

12.2 Termination by Licensor

This Agreement is effective until terminated. We may terminate this Agreement immediately if you:

• Fail to comply with any term of this Agreement
• Engage in fraudulent or illegal use of the Software
• Fail to pay applicable fees (Hosted Version)

12.3 Effect of Termination

Upon termination:

• All rights granted under this Agreement immediately cease
• You must immediately cease all use of the Software
• You must uninstall and destroy all copies of the Software
• For Hosted Version, access to your data will be terminated (download data before cancellation)
• Sections 8 (Ownership), 10 (Warranty Disclaimer), 11 (Limitation of Liability), and 14 (General Provisions) survive termination

12.4 Refunds

Downloadable Versions: 30-day money-back guarantee. Contact support@checkprintpro.com within 30 days of purchase.

Hosted Version: No refunds for partial subscription periods.

13. Export Compliance

The Software may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws, including U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

14. General Provisions

14.1 Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and CheckPrintPro regarding the Software and supersedes all prior agreements and understandings.

14.2 Amendments

We may modify this Agreement at any time by posting the revised version on our website. Your continued use of the Software after changes become effective constitutes acceptance of the revised Agreement.

14.3 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

14.4 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.5 Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.

14.6 Assignment

You may not assign or transfer this Agreement or any rights granted hereunder without our prior written consent. We may assign this Agreement without restriction.

14.7 Third-Party Beneficiaries

There are no third-party beneficiaries to this Agreement.
