These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CheckPrintPro ("Company," "we," "us," or "our") governing your use of the CheckPrintPro software and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

CheckPrintPro provides check printing software available in the following formats:

• Hosted Plan: Cloud-based subscription service accessible via web browser
• Downloadable Plans (Beginner, Pro, Business): Desktop software for Windows and macOS

The Service allows users to create, manage, and print checks using standard check paper and printers.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. License Grant

4.1 Hosted Plan

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Hosted Service during your subscription period.

4.2 Downloadable Plans

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, perpetual license to install and use the downloadable software on devices you own or control, subject to the restrictions in your specific license tier (Beginner, Pro, or Business).

5. Restrictions

You agree not to:

• Modify, adapt, translate, or create derivative works of the Service
• Reverse engineer, decompile, disassemble, or attempt to discover the source code
• Rent, lease, sell, sublicense, distribute, or transfer the Service to third parties
• Remove, alter, or obscure any proprietary notices
• Use the Service for any illegal or unauthorized purpose
• Use the Service to create fraudulent checks or engage in financial fraud
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems to access the Service without permission
• Violate any applicable laws or regulations

6. Payment Terms

6.1 Pricing

Current pricing for all plans is available on our Pricing page. We reserve the right to change prices at any time, but price changes will not affect existing subscriptions or purchased licenses during their current term.

6.2 Hosted Plan Subscription

• Billed monthly at $9.99/month
• Automatically renews unless cancelled
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• No refunds for partial months

6.3 Downloadable Plans

• One-time purchase: Beginner ($9.99), Pro ($19.99), Business ($29.99)
• Perpetual license with no recurring fees
• 30-day money-back guarantee

6.4 Payment Processing

Payments are processed through third-party payment processors. You agree to provide accurate payment information and authorize us to charge your payment method.

6.5 Refunds

Downloadable plans: 30-day money-back guarantee from date of purchase. Contact us at support@checkprintpro.com to request a refund.

Hosted plan: No refunds for partial subscription periods. Cancel anytime to prevent future charges.

7. User Responsibilities

7.1 Lawful Use

You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including but not limited to banking regulations, anti-fraud laws, and financial reporting requirements.

7.2 Check Accuracy

You are responsible for:

• Verifying the accuracy of all information on printed checks
• Ensuring sufficient funds are available in your account
• Proper storage and security of printed checks
• Compliance with your bank's check requirements

7.3 Data Backup

For downloadable plans with local storage, you are responsible for backing up your data. We are not liable for any data loss.

7.4 Security

You are responsible for maintaining the security of your account credentials, devices, and printed checks.

8. Intellectual Property Rights

8.1 Our Rights

The Service, including all software, text, graphics, logos, and other content, is owned by CheckPrintPro and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

8.2 Your Content

You retain ownership of all data you input into the Service (bank information, check data, signatures, etc.). For the Hosted plan, you grant us a limited license to store and process this data solely to provide the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

9. Disclaimers

We do not warrant that:

• The Service will meet your specific requirements
• Checks printed using the Service will be accepted by all banks
• The Service will be compatible with all printers or check paper
• Data stored on our servers (Hosted plan) will never be lost or corrupted

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

11. Termination

11.1 By You

• Hosted Plan: Cancel your subscription at any time through account settings
• Downloadable Plans: Uninstall the software at any time

11.2 By Us

We may suspend or terminate your access to the Service immediately, without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your payment fails or account is past due
• We are required to do so by law
• We discontinue the Service

11.3 Effect of Termination

• Hosted Plan: Access to cloud data will be terminated. Download your data before cancellation.
• Downloadable Plans: Software may continue to function, but you must cease use if terminated for violation of Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal Negotiation: Contact us at legal@checkprintpro.com to attempt to resolve the dispute informally
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, and there is no right or authority for any dispute to be arbitrated on a class-action basis.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification (for material changes)

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and License Agreement, constitute the entire agreement between you and CheckPrintPro regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
